de las sociedades anónimas
The Administrator’s Responsibility in the Corporations

Resumen
La investigación objeto de estudio es de tipo sociológica – jurídica y docu-
mental. Su objetivo general fue analizar la naturaleza jurídica de la responsabili-
dad de los administradores de las compañías anónimas de Maracaibo, en concor-
dancia con el Código de Comercio. Sus objetivos específicos fueron concebidos
para describir las obligaciones, y calificar la responsabilidad de los mismos. La
metodología presente en la investigación, es de diseño mixto, donde se hizo uso
de observación documental efectuada en los expedientes de los registros mercan-
tiles del municipio Maracaibo, y entrevistas a varios administradores. Los resulta-
dos obtenidos en la investigación indican que en Maracaibo las sociedades anóni-
mas no reflejan en el campo administrativo el cumplimiento de las disposiciones
establecidas por la ley en cuanto a la función y responsabilidad de los administra-
dores; por lo que se hace necesario la urgente reforma del Código de Comercio
Venezolano y la aprobación definitiva de la ley de sociedades mercantiles, en eta-
pa de anteproyecto, a objeto de establecer una debida seguridad jurídica en el ám-
bito de la responsabilidad de los administradores en la sociedad anónima del or-
denamiento jurídico venezolano.
